1. Agreement
These Terms of Use (“Terms”) govern access to and use of BMIS (the Pharmacy Business Management Information System) provided under CMDA-SL and powered by Lion Code Innovation Ltd. By signing in, installing the PWA, or otherwise using BMIS, you agree to these Terms on behalf of yourself and, if applicable, the pharmacy tenant that authorised your account.
If you do not agree, do not access the system. Pharmacy owners are responsible for ensuring their staff understand role-based duties under these Terms.
2. The service
BMIS provides multi-tenant software for pharmacy operations in Sierra Leone, including (depending on subscription tier):
- Catalogue, inventory, batches/expiry, and stock ledger;
- Point of sale, receipts, credit, returns, and reconciliation;
- Purchasing, supplier/customer ledgers, and commercial reports;
- Approvals, audit, exceptions, stock take, month-end, and diagnostics;
- Premium Pro multi-branch transfers, enterprise analytics, and integration hooks;
- Progressive Web App install with offline shell caching and POS outbox sync.
BMIS is an operations and governance platform. It does not replace professional clinical judgement, medicines regulatory compliance, or licensed pharmacist responsibilities under Sierra Leone law.
3. Parties and roles
- CMDA-SL — service operator / contracting authority for pharmacy tenants and client operations;
- Lion Code Innovation Ltd — technology provider responsible for engineering, platform health, and agreed support, acting on CMDA-SL instructions;
- Pharmacy tenant — the licensed or authorised pharmacy organisation using an isolated BMIS workspace;
- Authorised user — an individual with a role such as Owner, Manager, Pharmacist, Cashier, Storekeeper, Branch Admin, CMDA Ops, or Lion Code engineer.
4. Accounts, credentials, and access control
- Accounts are personal and non-transferable unless CMDA-SL expressly reassigns them.
- You must keep credentials confidential and report suspected compromise immediately.
- You may only use features permitted by your assigned roles and permissions.
- Seat limits and subscription tiers are enforced; attempts to bypass them are prohibited.
- Platform planes are separated: Lion Code engineering (/platform), CMDA-SL client ops (/ops), and pharmacy tenant UI must not be used outside authorised purpose.
5. Acceptable use
You agree not to:
- Access another tenant’s data or attempt to defeat multi-tenant isolation or row-level security;
- Tamper with immutable stock movements, audit logs, or approval outcomes;
- Use BMIS to commit fraud, falsify inventory/sales records, or evade lawful oversight;
- Probe, scan, or attack the service except under a written CMDA-SL / Lion Code security engagement;
- Upload malware or abuse APIs, webhooks, or integration keys;
- Violate the Cyber Security and Crime Act, 2021, or other applicable Sierra Leone law;
- Share screenshots or exports of confidential customer/staff data beyond operational need.
6. Pharmacy data accuracy and operational duties
The pharmacy tenant is responsible for:
- Accuracy of products, prices, batches, suppliers, customers, and stock counts;
- Ensuring only qualified staff perform regulated pharmacy activities;
- Reviewing approvals, exceptions, voids, and month-end closures;
- Configuring branches and transfers correctly on Premium Pro;
- Complying with medicines, tax, labour, and professional obligations outside BMIS.
BMIS calculates and records operational figures based on data entered by users. Garbage-in remains the tenant’s responsibility.
7. Subscriptions, tiers, and fees
Features depend on the active subscription tier (Basic, Standard, Premium, Premium Pro) and seat limits managed by CMDA-SL. Non-payment, expiry, or suspension may restrict access. Tier upgrades/downgrades may change available screens and capabilities without deleting historical records except where legally required.
8. Intellectual property
BMIS software, branding, documentation, and related IP are owned by or licensed to CMDA-SL / Lion Code Innovation Ltd as applicable. You receive a limited, non-exclusive, non-transferable right to use BMIS for authorised pharmacy operations during an active subscription. You may not copy, reverse engineer (except to the extent mandatory law allows), resell, or create a competing service from BMIS materials.
9. Offline use and PWA
When installed as a Progressive Web App, BMIS may cache the app shell and limited operational data on your device and queue certain POS actions offline. You must reconnect to synchronise. Duplicate prevention relies on client mutation identifiers; you must not deliberately craft conflicting offline payloads. Device loss remains your responsibility—use device lock screens and report lost devices that held BMIS sessions or offline queues.
10. Availability, support, and changes
We aim for reliable availability but do not warrant uninterrupted service. Maintenance, force majeure, upstream cloud outages, or cybersecurity events may cause downtime. CMDA-SL / Lion Code may modify features to improve security or compliance. Material service changes affecting tenants will be communicated through administrator channels where practical.
11. Disclaimer and limitation of liability
BMIS is provided on a commercially reasonable basis for operational management. To the fullest extent permitted by Sierra Leone law:
- We disclaim implied warranties of fitness for a particular clinical or regulatory outcome;
- Neither CMDA-SL nor Lion Code is liable for indirect, consequential, or lost-profit damages arising from use or inability to use BMIS;
- Aggregate liability for proven direct damages arising from a claim relating to BMIS in any twelve-month period is limited to fees paid for the affected tenant subscription in that period (or a reasonable equivalent if fees are waived), except where liability cannot be limited by law (for example proven fraud or wilful misconduct).
12. Suspension and termination
CMDA-SL may suspend or terminate access for breach of these Terms, security risk, non-payment, legal compulsion, or end of programme. Upon termination, export options (where provided) should be exercised promptly. Residual backups may persist for a limited period consistent with the Privacy Policy and legal retention needs.
13. Privacy
Personal and operational data handling is described in the Privacy Policy, which forms part of these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the Republic of Sierra Leone. Disputes should first be raised with CMDA-SL for good-faith resolution. Failing that, courts or competent dispute forums in Sierra Leone have jurisdiction, without prejudice to mandatory consumer or public-law protections.
